Terms And Conditions Of Sale

Evaluation Purchases:
    Items purchased for evaluation covered by our 30 day risk free evaluation offer/agreement may be returned within 30 days for full refund less actual shipping charges for qualified customers. Items must be returned in original condition. R.L.C. Enterprises, Inc. will cancel the invoice, refund by check, or issue credit to a credit card within seven days of receiving acceptable merchandise back. Items must be received by R.L.C. Enterprises, Inc. prior to 30 days from the invoice date. No R.M.A. numbers are required for return of qualified evaluation purchases. Items returned late, incomplete or damaged will not be accepted. Microsoft software that has been opened is not returnable, and will be deducted from the refund in the amount stated on the product label. Only one development package and/or one I/O module will qualify for this offer. R.L.C. reserves the right to determine if a company/individual is qualified for the 30 day evaluation offer/agreement. Companies/Individuals that may not qualify include individuals using our units for personal/hobby use, companies/individuals we feel our units are not suited for their intended application, companies/individuals using our units specifically for demonstration purposes only with no intent for application development, and/or companies/individuals that we feel are competitors.

Engineering Technical Support:
    R.L.C. Enterprises, Inc. will provide FREE of charge, 30 days of phone-in engineering technical support and six (6) months of email initiated engineering technical support with the purchase of a new Windows CE development package. This initial 30 day period of direct phone support or email is to help you evaluate our products and get your software development environment up and running.

    Each time you purchase another Windows CE embedded computer the six months of email initiated technical support is started over. If your six (6) months of technical support has ended, and you pay to Upgrade Your R.L.C. Windows CE Development System, your six months of email initiated technical support is again started over.

    Technical support for Microsoft Embedded Visual Tools and customer application software will also be supported only if R.L.C. can easily provide such support. If R.L.C. feels we are not able to provide adequate answers to software development tools and software application questions, you will then be directed to research the question for yourself or contact Microsoft or Intel for additional technical support. In order to request technical support after the initial 30 days you must use the Current RLC Customer Technical Support Request Form. R.L.C. will answer your email technical support request by email or phone at the option of R.L.C.

    R.L.C. Enterprises, Inc. reserves the right to limit technical support services to a reasonable level at any time without notice. R.L.C. technical support is not intended for application development or programming support. R.L.C. reserves the right to limit technical support to R.L.C. hardware, the development environment, and R.L.C. provided demo programs.

Discount Schedule:
    Items purchased under the R.L.C. published discount schedule are priced at a per delivery price unless otherwise negotiated and agreed upon. Items or deliveries can not be combined to receive the discounts published. The discounts published are based upon a single delivery of the quantities ordered of a particular item.

Purchase Orders:
    R.L.C. Enterprises, Inc. will accept orders and purchase orders by telephone, FAX, email or on-line. All purchase orders are subject to the terms and conditions set forth by R.L.C. Enterprises, Inc. Special terms and conditions must be agreed to by R.L.C. Enterprises, Inc. at the time the purchase order is placed. R.L.C. does not agree to terms and conditions that are set forth after the purchase order is placed. This is referring to boiler plate terms and conditions that are typically printed on the reverse side of a confirming purchase order. Confirming purchase orders will not be acknowledged except for quantity, price, and delivery. When you place an order with R.L.C. Enterprises, Inc. you are accepting our terms and conditions. Any modifications must be approved by R.L.C. Enterprises, Inc. in writing or will not be considered to be in effect.

Blanket Orders:
    R.L.C. will accept blanket purchase orders over a one year period subject to a minimum 15% pre-payment of the entire order, pre-payment percentage depends on the number of units ordered from R.L.C. A blanket order will qualify for the maximum percent discount based upon the R.L.C. published price sheet and discount schedule at the time of the blanket order. The 15% pre-payment must be received by R.L.C. prior to R.L.C. acceptance. Each subsequent shipment will be billed the remaining 85% of that shipment. If the delivery schedule is delayed by the customer beyond the one year period for any reason, the remaining 15% prepayment will be forfeit and considered a cancellation fee.

C.O.D. or Credit Card Terms:
    C.O.D. or use of selected credit cards is available to first time customers or companies who are unable to supply acceptable credit information. These terms are not available on larger orders or for special custom orders. Large or custom orders must be on Net 30 or prepaid.

Wire Transfers Direct To Bank:
    Direct wire transfers may be used to pay for international orders.  R.L.C. Enterprises, Inc. will upon request, provide the necessary banking information required to perform the transfer of funds. This information will be provided after receiving a valid purchase order.

Net 30 Credit Terms:
    Instant credit terms are extended only to pre-qualified companies. All other companies are required to complete and return to R.L.C. a completed application for credit. Credit applications are not accepted for first time evaluation purchases. In order to apply for Net 30 credit terms, a company must supply R.L.C. Enterprises, Inc. with the following information. You must provide R.L.C. Enterprises, Inc. with a completed and signed credit application. You must include six verifiable credit references. Three must be out of state and one must be from California. Please provide phone, FAX, full address, and name of contact person. Your past credit history with R.L.C. Enterprises, Inc. will automatically be added to your list of credit references. You must provide the following banking information: account number, branch, address, phone, and contact person. You must provide your DUN and Bradstreet number, if available. R.L.C. Enterprises, Inc. reserves the right to deny terms to any company for any reason so do not assume that terms automatically apply. Allow up to four weeks for processing a completed credit application. Please do not ask for terms beyond that of Net 30 as they will not be approved under any condition. If your company is denied terms for any reason, R.L.C. Enterprises, Inc. will determine an alternate method of payment. Late payments may result in the immediate termination of terms and the holding of future shipments.

Prepaid Terms:
    Prepaid is required for custom or large orders where the customer is unable to supply R.L.C. Enterprises, Inc. with acceptable credit information.

Shipments Outside The United States:
    Orders outside the US may be subject to import duties and taxes, which are levied once a shipment reaches your country/region. Additional charges for customs clearance must be borne by you; we have no control over these charges and cannot predict what they may be. Customs policies vary widely from country/region to country/region; you should contact your local customs office for further information. Additionally, when ordering from this site, you are considered the importer of record and must comply with all laws and regulations of the country/region in which you are receiving the goods.

Return Of Merchandise:
    Return of items ordered for evaluation that are covered by our evaluation return policy are not subject to re-stocking charges or other penalties if returned in good condition and within the 30 day evaluation period. Items are not returnable after 30 days. All other purchases not under the 30 day evaluation period should be considered final purchases, unless otherwise stated. You should remove extra stand-offs, do not disassemble the unit. Pack your system carefully to prevent shipping damage and insure your system for possible shipping damage. You are responsible for all shipping to and from R.L.C. If the unit is not properly packaged or shipped, R.L.C. reserves the right to refuse this service and void the existing warranty. All other returns will only be accepted with prior approval and if accepted for return, may be subject to a re-stocking charge. In general, custom or larger orders are not returnable. Items used, altered, or damaged are also not returnable. R.L.C. reserves the right to refuse returns.

Limited Warranty:
    R.L.C. Enterprises, Inc. warrants Embedded Single Board Computers and I/O products manufactured by R.L.C. Enterprises, Inc. against defective materials and workmanship for a period of one year from the date of purchase.  LCD Displays and touch screens are warranted for 90 days from the date of purchase. Light bulbs, batteries, power supplies, and accessories are not covered under this warranty. Mechanical damage, scratches, or user caused damage to the units are not covered under this warranty. The user interface of products manufactured by R.L.C. Enterprises, Inc. should not be considered covered by this warranty as these interfaces are typically subject to damage from improper hook-up or other external causes. R.L.C. Enterprises, Inc. will make the determination if warranty applies to the repair. R.L.C. Enterprises, Inc. will repair or replace, at its discretion, if it is determined that warranty applies. If warranty does not apply, R.L.C. Enterprises, Inc. will make notification before proceeding with chargeable repairs or replacement. This warranty does not apply to any product that has been subjected to misuse, accident or improper installation, nor does it apply to any product that has been repaired or altered by other than a factory authorized representative. Warranty is also voided if product is not properly packaged when returned. This warranty applies only to the original purchaser and is not transferable. Repairs not covered by warranty are guaranteed for 30 days. Repairs covered by warranty are guaranteed for the remainder of the warranty period or 30 days, what ever period is greater.

There are no warranties that extend beyond these herein specifically given.

Return for Warranty & Repairs:
    Items may be returned for repairs to R.L.C. Enterprises, Inc. provided each item returned must have an RMA Form filled out and returned with that item.  An RMA number is not needed but a completed RMA form is required for each item returned for repair.  You should remove extra stand-offs, do not disassemble the unit. Pack your system carefully to prevent shipping damage, and insure your system for possible shipping damage. You are responsible for all shipping to and from R.L.C. If the unit is not properly packaged or shipped, R.L.C. reserves the right to refuse this service and void the existing warranty. R.L.C. Enterprises, Inc. will determine if item is covered by warranty and will repair or replace that item at R.L.C. Enterprises, Inc. option and will ship the item back to the customer the best way possible, up to a maximum cost of $20 returned shipping (R.L.C. Enterprises, Inc. discretion). Anything over $20 dollars is the responsibility of the customer to cover the difference (over seas customers will be required to pay most of the shipping charges because it is more expensive to ship over seas). If item is not covered by warranty, customer will be contacted with estimate of repair or replacement cost prior to completion of repairs. R.L.C. Enterprises, Inc. reserves the right to determine if items are covered by warranty or not. Items altered or modified by customer may void warranty if so determined by R.L.C. Enterprises, Inc. Repairs not covered by warranty are guaranteed for 30 days. Repairs covered by warranty are guaranteed for the remainder of the warranty period or 30 days, what ever period is greater.

Liability Disclaimer:
    In no event will R.L.C. Enterprises, Inc. be liable for direct, indirect, incidental, or consequential damage resulting from the use of products manufactured by R.L.C. Enterprises, Inc. Products manufactured by R.L.C. Enterprises, Inc. are not to be used in products that may cause harm to others or damage to property.  Products manufactured by R.L.C. Enterprises, Inc. are not intended to be used in any medical life support equipment or in any other equipment or device or application where a failure could result in injury or death. The user is informed that these products are components to be engineered by qualified persons only, into a system. R.L.C. Enterprises, Inc. has no control over the systems that these products are being used in, therefore accepts no liability for misuse or poorly engineered systems. R.L.C. Enterprises, Inc. is not a systems engineering house and therefore makes no claims to that. These products do not possess safety approvals such as Underwriters or the FCC because they are meant to be a component in a larger system. Therefore, if such approvals are necessary, it is the responsibility of the company providing the system engineering to provide such approvals.

Non-Disclosure and License Agreement For Hardware And Software Products:
    This agreement is provided in hard copy form to all first time customers on their initial purchase. R.L.C. Enterprises, Inc. reserves the right to refuse sales to competitors or customers known or thought to be potential competitors of R.L.C. Enterprises, Inc. If you do not agree with any of these conditions you must return the products immediately without delay to R.L.C. Enterprises, Inc. You should not purchase R.L.C. Enterprises, Inc. products for use in the engineering development of your own products that will ultimately compete or substitute in the place of an R.L.C. Enterprises, Inc. product.  If you are a competitor, do not purchase R.L.C. Enterprises, Inc. products for use in the engineering development of your own products that will ultimately compete with ours.

        Object code, source code, and all other files, including schematics, manuals and all additional information provided on the R.L.C. Enterprises, Inc. RLC-CE CD may not be copied, duplicated, disassembled, reproduced or re-manufactured whether modified or unmodified without written permission from R.L.C. Enterprises, Inc.

    Schematics, manuals, support drawings, software source files, and all other documents provided by R.L.C. Enterprises, Inc. are provided for the sole purpose to aid in the development of products which use R.L.C. Enterprises, Inc. products. They are not to be used to develop products that compete with R.L.C. Enterprises, Inc. or products that are not to be manufactured by R.L.C. Enterprises, Inc. All of the information provided by R.L.C. Enterprises, Inc. is to be considered proprietary and is covered under this agreement of non-disclosure. You are also not to disclose any of the provided information to anyone outside your company without the expressed written permission of R.L.C. Enterprises, Inc.

    The FLASH EPROM'S from R.L.C. Enterprises, Inc. may not be copied for any reason. All of the files including object code, contained on the R.L.C. Enterprises, Inc. RLC-CE CD may only be copied to a host computer for the purpose of development of an application program for an R.L.C. Enterprises, Inc. Embedded single board computer.

    Software products from R.L.C. Enterprises, Inc. are provided for the use on products manufactured by R.L.C. Enterprises, Inc. only. R.L.C. Enterprises Inc. software products are not to be used to develop products not manufactured by R.L.C. Enterprises, Inc.

Privacy Policy:
     We are committed to protecting your privacy and security. We value the relationship we have with you, and will do nothing to violate your trust in us. Because of this commitment, we never sell, rent or trade email addresses with any other company. And we utilize state-of-the-art security software to protect your financial information.

What information do you need to provide?
     When you place an order, we need to know your name, your company name, email, shipping and billing address, phone number, credit card number and expiration date. This allows us to process and deliver your order, and to send you updated information on our products and about our company.

     Any non-public personal information that you may provide via our sites will be used solely for the purpose stated on the page where it is collected.

     If you would like to receive online newsletters from us regarding new products, information about our technology or online order and shipping confirmation, you will need to provide us with your email address.

     R.L.C. will not sell, license, transmit or disclose this information outside of R.L.C. and its affiliated companies unless (a) expressly authorized by you, (b) necessary to enable R.L.C. contractors or agents to perform certain functions for us, or (c) required or permitted by law. How do I discontinue email newsletters?
     At the bottom of each email is information about removing your name from our email list. Simply follow the instructions and we'll remove your name. Please note that it may take several days for the change to take effect, and you may receive emails during that time.
